Continental Sells ContiTech Unit for $4.6 Billion in Restructuring Move
German automotive supplier Continental has announced the signing of an agreement to sell its ContiTech unit, which specializes in rubber and plastic products, to private equity firm Lone Star Funds. The deal is valued at approximately 4 billion euros ($4.57 billion), with potential additional performance-linked payments of up to 250 million euros in the coming years.
Deal Details and Business Impact
According to Reuters, Continental expects to generate net cash proceeds of around 3.1 billion euros after the deal closes, following customary financial adjustments. The company confirmed that the divestiture will allow it to sharpen its focus on its core tire manufacturing business, one of its strongest segments.
Continental also stated that it plans to distribute approximately 2.5 billion euros to shareholders after the transaction is completed, reflecting its strategy to restructure operations and enhance returns for investors. The company is currently evaluating the impact of the deal on its current fiscal year outlook, while emphasizing that its tire business forecasts remain unaffected by the sale.
Cost-Cutting and Restructuring Plan
The sale is part of a broader restructuring plan for ContiTech, which has faced operational pressures in recent months. In May, Continental announced the elimination of 3,000 jobs, including 1,600 positions in Germany, alongside a plan to reduce annual costs by 150 million euros starting in 2028.
Reuters had previously reported that negotiations between the two parties had reached their final stages before Continental officially announced the agreement, with the deal expected to close by the end of 2026. This move reflects a growing trend among European automotive component manufacturers to divest less profitable activities and redirect investments toward core sectors, driven by the shift to electric vehicles, rising operating costs, and the need to improve efficiency and maximize capital returns.
